GENERAL TERMS AND CONDITIONS OF SALE




1. Purpose and scope

These general terms and conditions of sale (hereinafter "GTC") apply to any sale of products made by Generous SA (hereinafter "Generous") with any professional client (hereinafter "the Client"). They prevail over any general terms of purchase or any document from the Client, unless expressly agreed otherwise in writing by Generous.

2. Orders

Any order must be sent in writing to Generous. The order is only definitive after written confirmation from Generous. Generous reserves the right to accept only part of the order or to deliver in multiple shipments.

3. Prices and payment terms

The applicable prices are those in effect on the day of the order. They are understood to be excluding taxes. Generous reserves the right to modify its prices based on changes in the cost of raw materials, energy, or transportation. Unless otherwise agreed in writing, payment is made by bank transfer within 30 days at the end of the month. Any late payment will automatically incur, without prior notice, late interest at a rate of 8% per year, as well as a flat fee of 40 EUR for collection costs. The products remain the property of Generous until full payment of the price.

4. Delivery and transfer of risks

Unless otherwise agreed, deliveries are made EXW Tubize (current Incoterms). Delivery times are indicative and shall not engage the liability of Generous. In case of force majeure (strikes, shortages, pandemics, supply chain disruptions, etc.), Generous may suspend or cancel the delivery without compensation.

5. Compliance and claims

The Client is required to check the condition, quantities, and compliance of the products upon receipt. Any claim for apparent defects or non-compliance must be notified in writing to Generous within three (3) business days following delivery. Failing this, the products are deemed accepted.

6. Termination / breach

Generous reserves the right to terminate any order by operation of law in the event of non-payment, serious non-performance by the Client, or prolonged force majeure. In case of termination for convenience, a reasonable notice period of one (1) month is applicable.

7. Business objectives

Generous and the Client may agree on annual business objectives (e.g., volumes, marketing actions). These objectives are indicative and do not contractually bind the parties, but serve as a reference for potential adjustments to the commercial terms (discounts, marketing budgets).

8. Liability

Generous is solely responsible for direct damages caused by its proven fault and related to the execution of the order. Under no circumstances shall Generous be held liable for indirect damages, such as loss of revenue, loss of profit, or damage to reputation. The liability of Generous is in any case limited to the amount of the concerned order.

9. Intellectual property

All intellectual property elements belonging to Generous, such as its trademarks, illustrations, characters, designs, and packaging, remain its exclusive property. Any reproduction or use without prior written permission is strictly prohibited.

10. Applicable law and competent jurisdiction

These general terms and conditions are subject to Belgian law. Any dispute will be submitted to the competent courts in accordance with the Belgian Judicial Code, including those within the jurisdiction of Generous's registered office.
